Axon Enterprise said on November 5, 2026, that it is investing an additional $1.2 billion in drone maker Skydio, raising its fully diluted ownership stake to about 37% and making Axon the exclusive public-safety distributor for Skydio products in the United States and Canada, according to Axon's press release. The announcement came alongside a cut to Axon's 2026 revenue growth guidance to roughly 30%, down from a prior 32% to 34% range, after the company posted a third-quarter revenue miss.
The Deal: Terms and Timing
Axon's new commitment adds approximately 20% to its fully diluted ownership in Skydio at a $5.2 billion pre-money valuation, according to the company's own announcement. The transactions are expected to close in the fourth quarter of 2026 and the first quarter of 2027, subject to customary closing conditions, Axon said. Chief Financial and Operating Officer Brittany Bagley said the payment is structured as roughly 60% cash and 40% Axon stock, and that Axon raised $1.15 billion in convertible notes to help fund it, according to AOL. Axon's investor materials described the transaction as "the largest single investment in Axon's history," a characterization reported by both Shattered.io and AOL.
Axon CEO Rick Smith framed the bet in sweeping terms: "Within a decade, millions of drones will be working across America. Skydio is positioned to lead in every sector they touch," he said, per Axon's press release. The company said it estimates the total addressable market for Drone as First Responder programs at approximately $13 billion in the U.S. and Canada alone.
Why the Guidance Cut, and Which Segment Is Affected
Axon now expects 2026 revenue of $3.61 billion to $3.63 billion, about 30% growth, down from its earlier 32% to 34% range, according to mlq.ai. The company also cut its free cash flow target to $350 million to $400 million from $450 million, per the same report. Axon tied the reduction specifically to its Dedrone counter-drone business: three large federal deployments worth about $130 million are no longer expected to close this year, according to both mlq.ai and TIKR.
The guidance change followed a third-quarter report in which Axon posted record revenue of $908.6 million, up 28% year-over-year, but that figure missed the roughly $937 million analysts had expected, according to TIKR. Gross margin also fell, to 56.7% from 60.1% a year earlier, which TIKR partly attributed to memory component costs.
Skydio's Business Case
Axon said Skydio expects approximately $1 billion in total bookings in its current fiscal year and already serves more than 1,500 public safety customers. More than 28 million Americans now live within two miles of a Skydio drone-as-first-responder dock, and agencies using the technology have cut priority response times by as much as 65%, with drones arriving before officers on roughly 80% of calls where deployed, Axon said in its release. The company also said Skydio systems are used by more than 4,000 U.S. public safety and critical infrastructure organizations, every branch of the U.S. military, and the armed forces of 32 allied nations.
TIKR framed the exclusivity arrangement as a competitive move against Motorola Solutions, noting that the drone announcement came a day after Motorola raised its own outlook, reported 12% sales growth and a record $16.6 billion backlog, and closed its acquisition of Dedrone rival D-Fend.
Market Reaction
Axon shares fell sharply on the news. Basis Report reported a 25% decline following the combination of the Q3 miss, the guidance cut and the Skydio investment disclosure. Separately, AOL reported the stock closed at $382.56 on the day of the earnings report, down from a prior close of $424.18, then traded at $356.22 in after-hours trading as of 7:59 p.m. Using those figures, the closing-to-after-hours decline from $424.18 to $356.22 works out to roughly 16% (a drop of $67.96 divided by $424.18), a calculation we performed using the values reported by AOL; the two outlets' percentage figures differ somewhat, likely reflecting different reference points in a volatile trading session.
What the Numbers Suggest

Revenue estimates compiled by TIKR point to Axon reaching roughly $3.71 billion in 2026 revenue on a consensus basis, modestly above the company's own updated guidance of $3.61 billion to $3.63 billion, suggesting the market had not fully priced in the scale of the Dedrone-related shortfall before the announcement. TIKR also reported that Axon's forward price-to-earnings multiple has ranged from a five-year high of 131.18x to a low of 42.96x, with the most recent reading at 47.71x. That positioning near the lower end of its own historical range is, in our reading, consistent with investors already discounting slower growth even before this week's guidance cut, though a single multiple reading cannot establish a trend on its own.
The size of the Skydio commitment, funded partly through $1.15 billion in convertible debt per Bagley's comments to AOL, also signals that Axon is prioritizing long-term positioning in the drone-as-first-responder market over near-term margin protection, a trade-off management appears willing to make given its stated $13 billion addressable market estimate for the category.
Bottom Line
Axon's $1.2 billion Skydio investment deepens its bet on drones as a core public-safety category, backed by an exclusive U.S. and Canada distribution arrangement and a $5.2 billion pre-money valuation for Skydio. That strategic push arrived the same week Axon lowered its 2026 growth guidance to about 30% after federal Dedrone deployments worth roughly $130 million slipped out of this year, a combination that sent shares down sharply, according to Basis Report and AOL. Investors now face a wait to see whether the Skydio partnership's reported bookings and response-time gains translate into the broader market opportunity Axon is describing.
