Ahold Delhaize has agreed to acquire 100% of Tesco's Czech and Slovak businesses, subject to regulatory approval, the two companies announced on October 30, 2026, according to Ahold Delhaize's newsroom statement and Tesco's regulatory filing via Investegate. The transaction would hand the grocery group a large retail network in two Central European markets while, in Tesco's framing, narrowing its own footprint further toward its core UK and Irish operations.

The Businesses Changing Hands

According to Ahold Delhaize, the assets being sold comprise a network of over 360 self-operated supermarkets, hypermarkets and convenience stores in Czechia and Slovakia, plus more than 100 franchise stores. Ahold Delhaize states that these operations generate approximately €3.5 billion in sales and employ over 14,000 people.

Tesco's Hungarian business is explicitly excluded from the agreement. Tesco says Hungary "is not part of today's agreement and continues to be owned and operated by Tesco," adding that it "will continue to review all options for the future of our business in Hungary," per the company's statement.

Regulatory Approval and Timeline

Per Ahold Delhaize's newsroom statement; Tesco separately cites H2 2027.

Both companies describe the deal as contingent on regulatory clearance, but their public statements give slightly different expected completion windows for the same transaction. Ahold Delhaize says the acquisition consideration will be funded through committed financing and existing resources, with the transaction "expected to close in Q4 2027 following the satisfaction of customary closing conditions, including regulatory clearances." Tesco, in its own filing, states that completion "is subject to antitrust and other applicable regulatory approvals" and "is expected to occur in the second half of 2027."

These two windows overlap but are not identical: Tesco's second-half-2027 guidance spans July through December, while Ahold Delhaize's fourth-quarter guidance points to the final three months of that period. Taken together, the statements suggest both parties are working toward a similar antitrust-driven closing horizon in late 2027, though the slight difference in phrasing is not explained in either announcement and should not be read as a confirmed precise date.

Tesco's Rationale: Simplification and Capital Return

Tesco CEO Ken Murphy said the transaction "will further simplify the Group, increasing our focus on our core UK and Irish businesses and supporting our continued investment in our food-first retail ecosystem and the capabilities that will drive future growth, while enabling a further return of capital to shareholders," according to Tesco's statement.

Tesco says it expects to return the majority of net cash proceeds from the sale to shareholders through an incremental share buyback following completion, and that the transaction is expected to be "broadly neutral to EPS and the Group Net Debt/EBITDA ratio following completion of the buyback."

This disposal follows a pattern of regional divestment Tesco has pursued since 2021. The company states that, prior to this sale, it had already released approximately £0.5 billion from selling non-core property assets in Central Europe, including a number of large shopping malls. Read together, these data points indicate a multi-year reduction of Tesco's direct exposure to Central European retail and property assets outside its core UK and Irish markets, a trend this sale continues rather than initiates.

Ahold Delhaize's Position in Central and Southeastern Europe

Per Ahold Delhaize's newsroom statement, Oct. 30, 2026.

Ahold Delhaize CEO Frans Muller called the acquisition "an important step in strengthening our position in the Central and Southeastern European region," according to the company's newsroom statement.

Ahold Delhaize says that following completion, integration and store portfolio remodeling, the combined businesses of its local Albert brand and Tesco Czechia are expected to become the leading grocery retail brand in Czechia by market share. The company also states the deal will establish it as a significant player in Slovakia with a leading brand position there.

Tesco's announcement describes Ahold Delhaize as an international food retail group with a portfolio of 17 local brands serving 77 million customers every week in the United States, Europe and Indonesia. Neither statement discloses Ahold Delhaize's total group sales, so the disclosed figures for the businesses changing hands — over 360 self-operated stores plus more than 100 franchise locations, with approximately €3.5 billion in sales — cannot be sized against the acquirer's overall revenue base on the evidence released by the two companies.

Financial Impact on Ahold Delhaize

Ahold Delhaize states that because of its strong balance sheet, the transaction will have no meaningful impact on its ongoing capital allocation and capital return policies. The company also expects the business combination to be EPS neutral to Ahold Delhaize in the first year after closing.

On the Tesco side, the expected neutrality to EPS and to the Group Net Debt/EBITDA ratio is explicitly tied to completion of the planned incremental buyback, meaning the net financial effect for Tesco shareholders depends on that buyback being carried out as described.

Bottom Line

The agreement would shift ownership of a retail network generating approximately €3.5 billion in sales, according to Ahold Delhaize, from Tesco to Ahold Delhaize, pending antitrust and other applicable regulatory approvals. Tesco says completion is expected in the second half of 2027, while Ahold Delhaize says it expects the transaction to close in Q4 2027. For Tesco, the sale extends a multi-year narrowing of its Central European exposure — the company says it has already released about £0.5 billion from non-core Central European property sales since 2021 — and is framed around simplification and further capital returns to shareholders. For Ahold Delhaize, the deal is positioned as reinforcing its Central and Southeastern European presence, with the company citing expectations of market-leading brand positions in Czechia and Slovakia once integration and store remodeling are complete. Both companies caveat their statements with the need for regulatory approval, and neither announcement explains the differing completion-window language.
