UniCredit's effort to push its Commerzbank holding above the 30% threshold under German takeover law is advancing on two tracks at once: a voluntary exchange offer launched in March 2026 designed to clear that regulatory line without seizing control, and a separate tender result from July that, if the share transfer is approved, would give UniCredit access to close to half of Commerzbank's voting rights. Both tracks still depend on regulatory clearances that have yet to be granted, with a pending decision from the European Central Bank — which supervises both lenders — the central outstanding item.

The March Offer and the 30% Cliff-Edge

On 16 March 2026, UniCredit announced a voluntary exchange offer for Commerzbank under Section 10 of the German Takeover Act, a move it said was built specifically to get past the 30% ownership mark without reaching control, according to UniCredit's press release. Under German takeover rules, crossing 30% would normally trigger a mandatory offer for all remaining shares; UniCredit structured its approach to get past that line while stopping short of full control, as CNBC reported.

At the time, UniCredit held roughly 28% of Commerzbank, split between about 26% in direct shares and roughly 4% held via total return swaps, per the company's own disclosure. On those figures the direct share position was roughly 6.5 times the size of the swap-based exposure — a gap of 22 percentage points, or a 550% relative difference (26 − 4 = 22; 22 ÷ 4 × 100 = 550%; our calculation). UniCredit said the exchange ratio for the offer would be set by Germany's financial regulator, BaFin, based on three-month volume-weighted average prices for both stocks, with UniCredit itself expecting a ratio of 0.485 of its own shares for every Commerzbank share, implying a price of about €30.80 per Commerzbank share, a premium of about 4% to the closing price on 13 March 2026.

UniCredit framed the offer partly as a practical fix: crossing 30% would end the need to continually trim its stake below that threshold as Commerzbank runs its ongoing share buyback program, and would let UniCredit buy more Commerzbank shares freely on the open market afterward, the company said. CEO Andrea Orcel, in comments reported by CNBC, played down speculation of a full takeover, saying he does not expect the stake to rise much beyond 30% and that pushing to 100% would consume 200 basis points of UniCredit's capital. "A full takeover scenario is remote," Orcel said, according to CNBC.

UniCredit laid out a timeline for the offer: formal launch at the start of May with a four-week offer period, an Extraordinary General Meeting called for May to authorize a related capital increase, and settlement expected to complete by the first half of 2027 once all necessary regulatory clearances are obtained.

Tender Results: A Path Toward Near 50% of Votes

Separately from the March exchange offer, Commerzbank's own disclosure shows that an earlier UniCredit tender offer produced a result by July 2026 that could materially expand UniCredit's voting power. UniCredit announced on 8 July 2026 that 17.6% of Commerzbank shares had been tendered by the end of an additional acceptance period that closed on 3 July, according to Commerzbank's FAQ on the offer. The transfer of those tendered shares, and the voting rights attached to them, still requires regulatory approval. Once that transfer clears, Commerzbank said, UniCredit would have access to close to 50% of the bank's voting rights.

Commerzbank has pushed back on how that 17.6% figure should be read. The bank said only 2.7% of its institutional and retail shareholder base actually tendered shares into the offer — a gap of 14.9 percentage points versus the headline 17.6% figure, or roughly 552% in relative terms (17.6 − 2.7 = 14.9; 14.9 ÷ 2.7 × 100 ≈ 552%; our calculation). Commerzbank said a significant part of the tendered total came from financial institutions linked to UniCredit, which it said had most likely borrowed a large portion of those shares beforehand.

What Stands Between UniCredit and ECB Clearance

The ECB has already acted once on this file: on 14 March 2025, it authorized UniCredit to acquire a direct stake in Commerzbank of up to 29.9%, at a point when about 18.5% of Commerzbank's shares were held by UniCredit through derivatives rather than as physical shares. That earlier approval still required further clearances, including from Germany's Federal Cartel Office, before the derivative-based exposure could be converted into physical shares, UniCredit said at the time.

The current, pending phase of ECB review concerns the shares tendered in 2026. According to a Reuters report cited by financial news outlet briefs.co, the ECB appears likely to approve UniCredit's acquisition, based on an internal document that was shown to the central bank's Supervisory Board. Briefs.co reported that BaFin confirmed UniCredit's application was complete and passed the matter to the ECB for a final ruling in late July 2026, which started a 60-working-day deadline for the ECB's review, according to sources cited by Reuters.

Briefs.co also reported that UniCredit anticipates the ECB will determine that it has effective control over Commerzbank, a finding that would require UniCredit to consolidate Commerzbank's assets onto its own balance sheet and would likely lower its capital ratios. Spokespeople for the ECB, UniCredit and Commerzbank all declined to comment to briefs.co on that reporting. This remains an attributed expectation tied to a single news report rather than a confirmed regulatory outcome.

Commerzbank's Resistance and the Shareholder Map

Commerzbank's leadership rejected the March approach the day it was announced. CEO Bettina Orlopp said the move was not coordinated with Commerzbank and that the exchange ratio in the announcement did not in fact include a premium for Commerzbank's shareholders, adding that the bank's top priority is creating sustainable value for shareholders, according to CNBC.

Commerzbank has also argued that even with an enlarged stake, UniCredit cannot unilaterally decide on fundamental structural measures. The bank's FAQ states that steps such as a domination agreement or a squeeze-out would require qualified majorities of 75%, or at least 90% or 95% of share capital respectively, along with minority-shareholder safeguards. Commerzbank also points to its own operating record as a counter-argument, saying its share price has doubled since the launch of its standalone strategy in February 2025, that 2025 was a record year in the bank's 156-year history, and that it delivered record results in the first half of 2026.

Ownership outside UniCredit remains fragmented. The German federal government is Commerzbank's second-largest shareholder with about 12.72% of shares and is resistant to any tie-up, with Germany's ruling Social Democratic Party firmly opposed, according to German media reports cited by CNBC. BlackRock holds about 5.73% and Norges Bank Investment Management holds roughly 3.14%, per the same CNBC reporting.

Share Price Context

CNBC reported that, around the time of the March announcement, Commerzbank shares were down more than 18% year-to-date while UniCredit shares were down 10.5% year-to-date. Separately, Orcel had told CNBC in June 2025 that Commerzbank's share price at that time was too high to support a merger deal. UniCredit first built a position in Commerzbank with a 9% stake in 2024 and has been weighing a possible bid for the Frankfurt-based lender since, according to CNBC.

Bottom Line

UniCredit has cleared the mechanical steps needed to push past Commerzbank's 30% ownership threshold and has a tender result that, if regulatory transfer is approved, would hand it access to close to half of Commerzbank's voting rights. What remains outstanding, and what the company's own statements and outside reporting both flag as unresolved, is the ECB's pending determination on the acquisition and on whether UniCredit has effective control, a finding that would carry direct capital consequences for UniCredit and that Commerzbank disputes on the merits. Commerzbank's management continues to resist the approach, citing its own standalone performance and the structural voting thresholds still required for any further integration.
