CVR Energy has entered into a definitive agreement with subsidiaries of Marathon Petroleum Corporation to acquire Marathon's St. Paul Park, Minnesota and Mandan, North Dakota refineries along with Marathon's related marketing business for approximately $4.2 billion plus net working capital, according to a company announcement and a report from Oil & Gas Journal. The transaction, unanimously approved by CVR Energy's board, would roughly double the company's refining throughput and extend its footprint into the Upper Midwest and Northern Great Plains.

Deal Terms and Timeline

Per the companies' statements cited by Oil & Gas Journal, the acquisition is expected to close by year-end 2026, subject to customary closing conditions and regulatory clearance, including expiration or termination of the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act. A purchase-agreement summary reported by TradingView indicates closing is expected within 270 days of signing, with specified extensions available up to 360 days, and that the deal carries no financing condition, though it remains subject to antitrust approval. In an 8-K filing noted by StockTitan, CVR Energy flagged that the timing and receipt of required regulatory approvals could delay the transaction or cause the parties to abandon it, a standard caution for deals of this size awaiting antitrust sign-off.

Financing Structure

CVR Energy said it expects to fund the transaction, including related fees and expenses, through a combination of $2.5 billion of committed secured debt financing, a $500 million equity commitment from its controlling shareholder, an $800 million equity investment from Trafigura US Holdings, and cash on hand, according to the company's own announcement. As part of the new secured financing, CVR's existing 7.500% Senior Notes due 2031 and 7.875% Senior Notes due 2034 will become secured on an equal and ratable basis with the new debt, while its 5.750% Senior Notes due 2028, with roughly $183 million outstanding, will be redeemed in full, per both the company release and the StockTitan filing summary.

Barclays, Wells Fargo and Mizuho are providing fully committed debt financing for a portion of the acquisition consideration, with Barclays also serving as CVR Energy's exclusive financial advisor; Vinson & Elkins and Proskauer Rose are acting as legal counsel, the company said. Separately, TradingView's account of the purchase agreement describes an $800 million preferred stock investment from Trafigura and a conditional commitment of up to $500 million from American Entertainment Properties, which may be reduced by proceeds from public stock offerings. Trafigura is also entering a 10-year crude oil supply and related commercial arrangement tied to the acquired refineries, alongside board observer and registration rights linked to its equity stake, while Icahn Enterprises, described as CVR Energy's controlling shareholder, was granted board designation and registration rights under a separate stockholders agreement tied to the deal, per TradingView's reporting.

Strategic Rationale and Synergies

CVR Energy expects to realize about $70 million per year of run-rate synergies, primarily from reductions in SG&A costs along with commercial and operational improvements across the combined system, the company said, a figure echoed in Oil & Gas Journal's coverage. The acquired marketing platform, which distributes gasoline, ultra-low-sulfur diesel, jet fuel and asphalt, is expected to expand distribution opportunities, improve margin optimization across CVR Energy's refining network, and add blending capacity that reduces exposure to volatile Renewable Identification Number (RIN) compliance costs, according to the company and Oil & Gas Journal. The marketing business supplies up to 590 branded locations across the Upper Midwest and Northern Great Plains, according to CVR Energy's announcement.

Upon closing, CVR Energy's total crude oil throughput capacity would rise to about 384,000 barrels per day from approximately 207,000 b/d, extending its refining footprint into those regions, Oil & Gas Journal reported. CVR Energy president and CEO Dane Neumann said the two refineries have generated more than $1.1 billion of EBITDA in the first nine months of 2026 and, citing current favorable market conditions, said he expects the acquired business to continue generating substantial cash flows over at least the next 12 months, according to the company's announcement and Oil & Gas Journal. The company's announcement separately put the acquired business's trailing-twelve-month EBITDA through September 30, 2026 at approximately $1.2 billion when adjusted for CVR Energy's accounting policies. CVR Energy's investor presentation described the deal's implied asset acquisition multiple as approximately 3.6x LTM EBITDA for the target assets, per the StockTitan filing summary.

For the nine months ended September 30, 2026, CVR Energy said the acquisition would have raised its EBITDA from approximately $900 million on a stand-alone basis to approximately $2.0 billion on a pro forma basis, and lifted earnings per share from $3.73 to $7.67, an accretion of more than 105%, excluding the roughly $70 million of estimated annual run-rate synergies. By our calculation, the $3.94 per-share gap between those two figures ($7.67 minus $3.73) means the stand-alone EPS number sits about 51% below the pro forma figure, a comparison consistent with the company's own characterization of the transaction as more than doubling per-share earnings on this nine-month basis. These are historical pro forma figures reported by the company, not projections of future results.

Marathon's Side of the Deal

Maryann Mannen, chairman, president and chief executive officer of Marathon Petroleum and MPLX, said proceeds from the sale are expected to be redeployed primarily in the Gulf Coast and to support MPLX's growth in the Permian and Marcellus basins, according to Oil & Gas Journal's reporting.

Bottom Line

The agreement would nearly double CVR Energy's refining throughput and add an established marketing network spanning hundreds of branded locations, financed through a mix of secured debt, equity commitments and a Trafigura-backed crude supply arrangement. The deal's size and structure, including refinancing of existing notes and a multi-party equity package, underscore how material the transaction is to CVR Energy's balance sheet. Completion still depends on antitrust clearance and other closing conditions, with the companies targeting a close by the end of 2026.
